The terms and conditions governing the use of the Leads Machine website and the provision of our growth, AI automation, and infrastructure services.

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Leads Machine website (the "Site") and the engagement of our growth marketing, AI automation, and technical infrastructure services (the "Services"). By accessing the Site or engaging our Services, you agree to be bound by these Terms.
"Leads Machine", "we", "us", and "our" refer to Leads Machine, a company registered in England and Wales. "You" and "your" refer to the visitor, prospective client, or client engaging our Services.
2. Use of the Site
You may use the Site for lawful purposes only. You agree not to misuse the Site by attempting to access it in a manner that could damage, disable, overburden, or impair it, or interfere with any other party's use. Prohibited conduct includes, without limitation, introducing viruses, attempting to gain unauthorised access, or scraping content for commercial purposes without our consent.
All content on the Site. Including text, graphics, logos, and case studies. Is the property of Leads Machine or its licensors and is protected by UK and international intellectual property law. You may not reproduce, distribute, or exploit it without our prior written permission.
3. Engagement of Services
The specific scope, deliverables, fees, and timeline of any engagement will be set out in a separate written agreement or statement of work ("SOW") between you and Leads Machine. In the event of any conflict between these Terms and an SOW, the SOW shall prevail in respect of that engagement.
We will perform the Services with reasonable skill and care. Any timelines provided are estimates and do not constitute a binding commitment unless expressly agreed in writing.
4. Fees and payment
Fees for the Services are as set out in the applicable SOW. Unless otherwise agreed, all fees are quoted in pounds sterling (£) and exclusive of VAT, which will be added at the applicable rate. Invoices are payable within 30 days of the date of invoice.
If an invoice remains unpaid after the due date, we reserve the right to charge interest at 4% per annum above the Bank of England base rate, accruing daily, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. Your responsibilities
To enable us to deliver the Services, you agree to provide timely access to the systems, data, and personnel reasonably required. You are responsible for the accuracy of any data you provide and for ensuring you have the necessary rights and consents to share it with us, including for processing under the UK GDPR.
6. Confidentiality
Each party will keep confidential all non-public information received from the other party and will use it solely for the purposes of providing or receiving the Services. This obligation survives the termination of any engagement for a period of three years.
7. Limitation of liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded under applicable UK law.
Subject to the above, to the maximum extent permitted by law, Leads Machine's total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by you for the Services giving rise to the claim in the twelve months preceding the event giving rise to the liability. We shall not be liable for indirect, consequential, or loss-of-profit damages.
8. Termination
Either party may terminate an engagement in accordance with the notice period set out in the applicable SOW. We may suspend or terminate access to the Site immediately if you breach these Terms. Upon termination, you remain liable for all fees accrued up to the date of termination.
9. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
10. Changes to these Terms
We may update these Terms from time to time. The date of the last revision is shown at the top of this page. Your continued use of the Site following any change constitutes acceptance of the revised Terms.
